All rights, title, and interest in Vigilant Voices technology, software, documentation, and branding remain with Model Signal and its licensors. No ownership is transferred to you except rights explicitly granted by written agreement.
Services may interoperate with third-party tools or providers. Your use of third-party services is governed by their terms and policies. We are not responsible for third-party systems outside our control.
Paid services, if any, are governed by the applicable order form, proposal, or contract. Unless otherwise agreed, fees are non-refundable and due according to the billing terms stated in your commercial agreement.
Services are provided on an "as is" and "as available" basis except as expressly stated in a signed agreement. To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Model Signal will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, revenue, or data. Aggregate liability is limited to amounts paid by you for the services in the 12 months preceding the event giving rise to the claim, unless a different cap is set by contract.
You agree to defend, indemnify, and hold harmless Model Signal from claims arising out of your misuse of services, violation of law, or breach of these terms.
We may suspend or terminate access for violations of these terms, security threats, legal requirements, or non-payment under applicable agreements. You may stop using the services at any time.
Unless otherwise agreed in writing, these terms are governed by the laws of the State of California, excluding conflict-of-law rules. Venue for disputes will be in appropriate courts located in California.
We may update these Terms of Service periodically. Material changes will be reflected on this page with a revised effective date. Continued use after updates means you accept the revised terms.
